Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Kapvel — the websites, applications, and services available at kapvel.com and its subdomains (the “Service”). The Service is operated by Kapvel (“we”, “us”), 353 Lexington Avenue, 4th Floor Ste 483, New York, NY 10016, United States.

By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.

1. The Service

Kapvel is a team workspace that combines project tracking, documents, spreadsheets, and a customer service desk. Workspaces are created by their owners, who invite members and, through service-desk portals, may interact with their own customers.

2. Accounts

  • You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account.
  • You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Service.
  • Notify us immediately through our contact page if you suspect unauthorized use of your account.

3. Workspaces and roles

Workspace admins control membership, roles, and settings within their workspace, including access to content you submit there. If you join a workspace owned by another person or organization, that owner is responsible for its administration and for the choices its admins make about your access and your content within that workspace.

4. Your content

  • You retain all rights to the content you or your members submit to the Service — issues, documents, spreadsheets, attachments, support requests, and data imported from third-party tools (“Customer Content”).
  • You grant us a limited license to host, store, process, transmit, and display Customer Content solely to provide and support the Service.
  • You are responsible for Customer Content and must have the necessary rights to submit it, including content you import from other services.

5. Acceptable use

You agree not to:

  • use the Service to store or share content that is unlawful, infringing, or harmful;
  • probe, scan, or test the vulnerability of the Service, or bypass its authentication and access controls;
  • interfere with the Service’s operation, including sending spam through workspace invitations, notification emails, or service-desk portals;
  • resell or provide the Service to third parties as a standalone offering without our written consent;
  • use the Service to compete with us or to build a similar product.

6. Plans, billing, and trials

  • Free workspaces are subject to usage limits. Paid plans are billed per seat through our payment processor, Stripe, on a monthly or annual cycle chosen at checkout.
  • Seat counts sync to the billable members of your workspace; adding members mid-cycle results in prorated charges on your next invoice.
  • Paid subscriptions may start with a free trial. When the trial ends, the subscription converts to a paid one unless cancelled first.
  • You can cancel any time from the billing page; the workspace stays on its paid plan until the end of the period already paid for, then reverts to the free plan. Except where required by law, fees are non-refundable.
  • Prices may change with at least 30 days’ notice.

7. Third-party services

The Service integrates with third-party services — for example source-control platforms and the tools you import data from — at your direction. Your use of those services is governed by their own terms, and we are not responsible for them. Credentials you provide for one-time imports are used in memory to perform the import and are not stored.

8. Intellectual property

We retain all rights to the Service, its software, and its branding. These Terms grant you no rights to use the Kapvel name or logos. Any feedback you send us may be used without obligation to you.

9. Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate access that violates these Terms, creates risk for the Service or other users, or is required by law. Where practical, we will notify you first.
  • To request deletion of your account or workspace data, reach us through the contact page.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. Back up important data.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data. Our aggregate liability arising out of the Service is limited to the amounts you paid us in the 12 months before the claim, or 100 USD if you paid nothing.

12. Changes to these Terms

We may update these Terms from time to time. For material changes we will give reasonable notice — by email or in the product — before they take effect. Continuing to use the Service after that means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of New York, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction.
